How California Divides Businesses, Stock Options, and Complex Assets in a Divorce

For many couples in California, the most contentious and complicated part of a divorce is not the custody schedule or the family home. It is the business. Whether one spouse owns a professional practice, a closely held company, or has significant equity compensation from an employer, dividing these assets requires a level of analysis and professionalism that goes well beyond a standard divorce proceeding.
When Is a Business Subject to Division?
California’s community property rules apply to businesses just as they do to other assets. Any business or professional practice that was started or grown significantly during the marriage is considered community property and is subject to equal division between the spouses. This applies whether the business is a medical practice, a retail operation, a consulting firm, or any other type of enterprise.
The operative question is not just whether the business exists, but how much of its current value was built during the marriage. A business that was started before the marriage but grew substantially during it will have both separate and community property components, and distinguishing between them requires careful tracing and valuation.
How Business Valuation Works
Valuing a business in a divorce is not as simple as looking at revenue or bank account balances. California courts require a professional business evaluator who can conduct a comprehensive analysis of the company’s assets, earning potential, and goodwill.
The business evaluator examines the tangible assets, the capacity to generate future income, and the goodwill the business has built over time. The results of this analysis can vary significantly depending on the nature of the business. In cases where the business is essentially a one-person operation that depends entirely on a single spouse’s skill and relationships, the evaluator may determine that there is little standalone business value for the other spouse to be compensated for. The evaluator essentially finds that the spouse is buying themselves a job rather than a transferable business.
This distinction matters enormously. A professional practice where all client relationships belong to the practitioner may be valued very differently from a business with diversified revenue streams, established systems, and an independent reputation.
Business Goodwill as Community Property
One of the more nuanced issues in business division is the treatment of goodwill, which refers to the reputation, client base, and intangible value a business has built over time. California courts recognize that a business’s goodwill can have significant monetary value and that both spouses may have a community property interest in it.
Dividing goodwill requires a professional appraiser who can not only determine its value but also testify to that valuation in court if the case goes to trial. This is why selecting the right business valuation professional early in the divorce process is so important. A credible, well-documented appraisal becomes the foundation for all negotiations and, if necessary, the trial.
Stock Options, RSUs, and Deferred Compensation
For employees at technology companies, large corporations, and other organizations that offer equity compensation, the divorce process must address stock options, restricted stock units, commissions, and other forms of deferred compensation. California courts use the time rule to divide these assets.
The time rule looks at when the compensation was earned rather than when it was actually paid or vested. If stock options or RSUs were earned during the marriage, even if they vest after the date of separation, the portion attributable to the marriage is community property. Anything earned after separation is separate property.
Applying the time rule accurately requires documentation of grant dates, vesting schedules, and the date of separation. Errors in this calculation can result in one spouse receiving far more or less than they are entitled to under California law.
Protecting Your Interests in a Complex Asset Divorce
Divorces involving businesses, professional practices, or significant equity compensation require a team approach. Your family law attorney, working in coordination with a qualified business appraiser and, where needed, a forensic accountant, can build a complete and accurate picture of what exists, what it is worth, and how it should be divided.
Getting the valuation right from the start protects both parties. Undiscovered assets, undervalued businesses, and improperly traced separate property claims can all affect the final outcome in ways that are difficult to reverse once a settlement is signed or a judgment is entered.
